The short answer
DIFC companies prepare annual accounts and most must have them audited. A small private company with turnover under USD 5 million and no more than 20 shareholders can skip the audit, but shareholders holding 10% can still demand one. A company claiming the 0% free zone tax rate needs audited statements regardless.
Which DIFC companies are exempt from audit?
Small private companies with annual turnover below USD 5 million and no more than 20 shareholders throughout the year (and the previous year, if trading for longer) can prepare unaudited accounts under the DIFC Companies Law of 2018 (CMS on DIFC Law No. 5 of 2018). Shareholders holding at least 10% of the share capital can require an audit for any year by written notice.
Does the exemption help with corporate tax?
Not for a company claiming the 0% rate. Qualifying Free Zone Persons must keep audited financial statements whatever the DIFC rules say (Ministerial Decision No. 82 of 2023). A small DIFC holding company or consultancy that wants 0% therefore still needs the audit.
Who can audit a DIFC company?
An auditor registered to audit DIFC entities. DFSA-regulated firms face further regulatory reporting, which we scope separately.
Before appointing any auditor, ask for proof that the firm is on the current DIFC approved list: a report signed by a firm that is not listed will be rejected at upload.
