The short answer
Most UAE free zones require audited financial statements every year, signed by an auditor on the zone's approved list and filed within three to six months of the year end. DIFC and ADGM exempt some small companies. Every Qualifying Free Zone Person needs audited accounts for corporate tax, whatever the zone says.
How do the main free zones compare?
| Zone | Who needs an audit | File within |
|---|---|---|
| DMCC | All member companies | 180 days of year end |
| JAFZA | All registered companies | 90 days of year end |
| DAFZA | All FZEs and FZCOs | 90 days of year end |
| RAKEZ | All licensees | 6 months of year end |
| DIFC | All, except qualifying small private companies | Per DIFC Registrar |
| ADGM | All, except qualifying small companies | Per ADGM Registration Authority |
| Meydan FZ | QFZPs and revenue above AED 50m (corporate tax rule) | With the tax return |

Why does corporate tax make free zone audits unavoidable?
Because a Qualifying Free Zone Person must keep audited financial statements to claim the 0% rate, and so must any business with revenue above AED 50 million (Ministerial Decision No. 82 of 2023). Even in a zone that exempts small companies, a company relying on 0% needs an audit. The two filings also have to agree: the audited profit is the starting point of the tax return.
What does a free zone audit cover?
A full audit of the financial statements under International Standards on Auditing, prepared under IFRS, plus the zone's own summary sheet or form. For QFZPs we also test how revenue is split between qualifying and non-qualifying income, since that split decides the tax rate. Related-party balances, share capital and shareholder loans get extra attention, because zone authorities and banks both read them.
Is my zone not listed here?
We also audit companies in DSO, DWC, Dubai CommerCity, DWTC, IFZA, SAIF Zone, Ajman and other zones. Each publishes its own deadline and approved list, so we confirm both in writing at the start of the engagement and work back from the earlier of the zone deadline and the corporate tax return.
Frequently asked questions
Can any auditor sign a free zone audit?
+
No. Most zones accept reports only from auditors on their approved list, and the upload is rejected otherwise.
Is the free zone deadline the same as the tax deadline?
+
No. Zone deadlines run three to six months from the year end; the corporate tax return is due within nine months.
Does a dormant free zone company need an audit?
+
Often yes, if the zone requires audits for every licensee. Some zones accept a lighter filing; we confirm with the zone first.
