The short answer
Closing a UAE company means appointing a liquidator, auditing the final accounts, notifying creditors, settling tax and labour obligations and getting clearances before the licence is cancelled. Corporate tax deregistration is due within three months of the company ceasing to exist. A straightforward closure takes about three months; complex ones take a year or more.
What are the steps to liquidate a company?
A shareholder resolution appoints the liquidator; the liquidator audits the final position, publishes a notice to creditors, settles debts, tax, labour and immigration matters, closes bank accounts and files the final report with the licensing authority (LY Lawyers, on Federal Decree-Law No. 32 of 2021). The liquidator can be an audit firm, an accounting firm or a law firm, and some free zones keep their own approved list.
Why is a liquidation audit needed?
Because creditors, shareholders and the authorities rely on the final accounts to see that every asset was realised and every liability settled. The audit confirms the closing balance sheet, the distribution to shareholders and the tax position at the cessation date, and it forms part of the final liquidation file.
“The amended law will come into effect on 1 January 2026.”
How do I deregister for corporate tax and VAT?
File every return up to the cessation date, pay all tax and penalties, and apply to deregister within three months of the company ceasing to exist. Missing that deadline carries a penalty of AED 1,000, repeated monthly up to AED 10,000 (Sovereign Group). The FTA can still audit periods within its five-year limit after closure, so keep the records (PwC summary of the 2026 Tax Procedures amendments).
How long does liquidation take?
Around three months for a dormant company with clean records, and a year or more where there are disputes, unpaid creditors or tax audits (LY Lawyers). The usual delays are missing bookkeeping, unclosed visas and tax clearances; we start those in parallel with the final audit.
Frequently asked questions
Can I just let the trade licence expire?
+
No. Expired licences keep accruing fines, and tax registrations stay open, so penalties continue. Formal liquidation closes the company properly.
Who can act as liquidator?
+
Usually an audit, accounting or law firm; check whether your free zone requires one from its approved list.
What happens to employees?
+
Final settlements, including gratuity, are paid and visas cancelled before the authority accepts the closure.
